01Agreement to these terms
These Terms of Service (“Terms”) are an agreement between you and Textual LLC, a California limited liability company (“Textual,” “we,” “us”). They govern your use of https://www.textual.wedding, the Textual app, photo albums, text messages, AI features, connections for third-party apps, and any related services (together, the “Service”).
You accept these Terms when you create an account, sign in, join a photo album, make a purchase, or otherwise use the Service after being shown a link to them. If you don’t agree, don’t use the Service. If you use the Service on behalf of someone else, such as a couple you are helping, you confirm you are authorized to accept these Terms for them. Our Privacy Policy explains how we handle personal information.
02The Service
Textual helps people hosting a wedding or similar event (“hosts”) keep their guests informed and gather their photos. Depending on the features available to you, hosts can, for example, manage guest lists, write and schedule text messages that we attempt to deliver at or near the selected times from a Textual phone number that may be shared across events, share a photo album with guests, invite co-hosts, and use AI features to help plan and draft messages.
We may add, change, limit, or remove features at any time. Some features may be offered on a trial or limited basis, and we don’t promise that any feature will remain available or free. The Service is intended for use in the United States.
03Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to create a host account. You sign in with a mobile phone number and a one-time code. You are responsible for keeping access to that number secure and for all activity on your account. Tell us promptly at [email protected] if you think someone has accessed it without permission. We aren’t responsible if your phone number is reassigned and someone else receives your codes or messages.
The person who creates an event is its owner. An owner may invite co-hosts, whose abilities depend on their role and the permissions available in the Service. The owner is responsible for choosing who has access and for actions co-hosts take on the event. Removing a co-host stops their future access but doesn’t retrieve information they already obtained. If people disagree about who controls an event, we may rely on our records of the event’s owner.
Guests don’t need an account. Guests under 18 may join a photo album only with a parent’s or guardian’s permission, and children under 13 may not join an album or upload content.
04Host responsibilities for guest texts
Textual sends messages on your behalf, but you decide who receives them, what they say, and when they are scheduled. By adding a phone number, inviting a co-host, or scheduling a message, you represent and agree that:
- You have consent. Each person whose number you add has agreed to receive text messages about your event, and each co-host you invite expects the invitation text. You won’t add numbers from purchased or third-party lists, or numbers of children under 13.
- You can show it. You will keep reasonable records of consent and provide them to us, our messaging providers, or carriers on request, and you’ll tell us promptly about any complaint you receive about your messages.
- Messages are about your event. You will only send informational messages related to your event. You won’t send advertising or marketing for any business, product, or cause, or use the Service to solicit money (sharing an existing registry link with guests who expect it is fine).
- You are responsible for your content, including the accuracy, legality, and appropriateness of every message, attachment, and guest record you create or approve, including anything drafted by AI features.
- You respect opt-outs. You won’t re-add or message anyone who has opted out, or ask us to override an opt-out, and you’ll remove anyone who asks you not to contact them.
- You follow the law, including laws and carrier rules on text messaging, privacy, and consent, such as the U.S. Telephone Consumer Protection Act, and you’ll schedule messages at reasonable times.
We may set and enforce limits on recipients, content, length, sending rate, and volume, and we may pause, delay, cancel, or refuse to send any message for any reason we consider appropriate, including to comply with carrier rules or the law.
05Text message program
Program description. Textual event messages are informational texts about a specific wedding or event, sent on behalf of its hosts from a Textual phone number that may be shared across many events. Guests receive them because a host added them with their consent, or because they opted in to event texts when joining the event’s photo album. We also send account and service texts, such as sign-in codes (which may come from a different number), co-host invitations, and notices about your account or event.
Message frequency varies by event and is set by the hosts. Msg & data rates may apply. We don’t charge guests for texts.
Opting out. Reply STOP to any message to stop receiving event texts. You can also ask us to stop by emailing [email protected]. Because many events may share the same number, opting out stops all event texts to you from that number, including texts for other events. You may receive one final message confirming your opt-out. If you change your mind, contact us; we may need to confirm your request before texts can resume.
Help. Reply HELP for help, or contact us at [email protected]. This number isn’t monitored for conversation, and replies other than keywords like STOP and HELP may not be read or passed on to hosts. Contact your host directly with questions about the event.
Delivery. Mobile carriers are not liable for delayed or undelivered messages. Delivery depends on carriers, devices, and networks outside our control, and we don’t guarantee that any message will be delivered, or delivered on time.
We do not share mobile numbers or text-message opt-in data with third parties for their marketing or promotional purposes. See our Privacy Policy for details.
06Photo albums
An event may have a shared photo album, available to guests while the host makes it available and the event’s plan includes it. Albums use shareable links, not verified guest identities: anyone who obtains an album link may be able to join, view, and upload. People who join can see the photos others have shared and the name each person entered. Photos are delivered through links that anyone who has them can open, and album links may show the event name and cover photo in link previews wherever they are shared.
People with access may copy, download, or share photos. Removing a photo or ending album access may not remove copies or links already shared. Photos may also contain embedded details, such as when and where they were taken. Only upload photos you took or have the right to share, and be thoughtful about photos of other people. To ask for a photo to be removed, contact the host or us at [email protected].
The Service isn’t a permanent archive or backup. Keep your own copies of any photos that matter to you.
07Your content
“Your content” means anything you add to the Service, such as guest lists, messages, photos, event details, files, voice input, and conversations with AI features. You keep ownership of your content.
You grant Textual a worldwide, non-exclusive, royalty-free licence, which we may sublicense to our service providers, to host, store, copy, process, adapt, transmit, display, and distribute your content to operate, provide, secure, support, and improve the Service. This includes showing content to the hosts and album members of your event, in messages you schedule, and in link previews of your album. This licence continues for content shared with others or kept as described in our Privacy Policy. We may use aggregated or de-identified information for any lawful purpose. We won’t use your photos in our advertising without your permission.
You confirm that you have the rights needed to grant this licence and that your content doesn’t violate anyone’s rights or the law. We don’t review content before it’s posted and aren’t responsible for content provided by hosts or guests, but we may remove any content at our discretion.
08Copyright and removal requests
If you believe content on the Service infringes your copyright, send a notice to [email protected] or by mail to Textual LLC, 440 N Barranca Ave #5052, Covina, CA 91723, with the information required by 17 U.S.C. § 512(c)(3). If your content was removed and you believe that was a mistake, you may send a counter-notice as the law allows. We may remove content and, in appropriate circumstances, end the accounts of repeat infringers.
To report an intimate image shared without consent, or other content that violates your privacy, email [email protected] with “Removal request” in the subject and a link to the album or photo. We review and act on valid requests as required by law.
09AI features
Some features use third-party AI models, for example to answer questions, read a wedding website you provide, draft and schedule messages, organize guests, or transcribe voice input.
- AI output can be inaccurate, incomplete, or inappropriate, and may get dates, times, names, or other details wrong. It isn’t professional advice. Review drafts, guest changes, and schedules before they are used.
- Actions you ask an AI feature to take are your actions. It may ask you to confirm some actions, but you are responsible for everything you request or approve, whether or not a confirmation was shown.
- Only provide websites, files, and information you are allowed to share.
Usage limits may apply. Our Privacy Policy explains how content is shared with AI providers.
10Connected apps
You may be able to connect a third-party app, such as an AI assistant that supports the Model Context Protocol (MCP), to your account. A connected app can access and act on your events, guests, messages, and photos with the same access you have. Those apps are run by other companies under their own terms and privacy policies, and we aren’t responsible for them. You are responsible for actions taken through a connection you authorize. Revoking a connection stops future access but doesn’t delete information already received or undo completed actions.
11Fees and payment
Some parts of the Service require payment. The offer or checkout describes the price, what’s included, how usage is counted, and how long access lasts. A single text may use more than one unit of a messaging allowance depending on its length and content. Additional credits don’t extend access unless the checkout says so, and allowances and credits expire when the event’s access ends. Prices may change for future purchases.
Payments are processed by Stripe. You authorize us and our payment processor to charge your payment method for purchases you make, plus any applicable taxes.
Except where the checkout says otherwise or the law requires it, payments are non-refundable, including for messages that are delayed or not delivered. Contact us at [email protected] about suspected billing errors. Allowances and credits have no cash value and can’t be transferred. We may suspend access for disputed charges or chargebacks.
12Acceptable use
You agree not to:
- send spam, marketing, or messages to people who haven’t agreed to receive them;
- send or upload content that is unlawful, harassing, hateful, threatening, sexually explicit, deceptive, or that infringes anyone’s rights, or that promotes or sells illegal drugs, firearms, cannabis, tobacco, or other regulated goods, or otherwise violates carrier content rules;
- upload intimate or private images of anyone without their consent, or any content that exploits minors;
- impersonate anyone, misrepresent your relationship to an event, or send phishing or malicious links;
- collect information about guests or other users for any purpose other than your event;
- probe, scan, or test the vulnerability of the Service, bypass its limits or security, or interfere with its operation;
- copy, resell, reverse engineer, or build a competing product from the Service, except as the law allows; or
- use the Service in violation of any law, sanctions or export rule, or carrier rule.
13Our intellectual property
The Service, including its software, design, text, graphics, logos, and the Textual name, is owned by or licensed to Textual LLC and protected by intellectual property laws. We give you a limited, non-exclusive, non-transferable, revocable right to use the Service in line with these Terms. If you send us feedback or suggestions, we may use them without any obligation to you.
14Third-party services
The Service relies on other providers, such as mobile carriers, messaging, payment, storage, hosting, and AI providers, and may link to websites we don’t control, such as a couple’s wedding website or registry. We aren’t responsible for third-party services or websites, and your use of them may be subject to their own terms.
15Suspension and termination
You can stop using the Service at any time, and you can ask us to delete your account or an event’s information by emailing [email protected].
We may suspend or end your access, pause sending, or remove content at any time, including if we believe you have broken these Terms, if we receive opt-out, abuse, or carrier complaints about your messages, if a carrier or provider requires it, to protect guests, users, or the Service, or if we stop offering the Service. Where practicable and lawful, we may notify you first. If we end your access for reasons other than your breach, we may, at our discretion, refund the unused portion of a purchase.
Sections that by their nature should survive termination, including those on content licences, copyright, payments owed, disclaimers, limitation of liability, indemnity, and disputes and arbitration, will survive.
16Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Textual LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We don’t warrant that the Service will be uninterrupted, secure, or error-free; that messages will be delivered, or delivered at the scheduled time; that photos or other content will be preserved or available; or that AI output will be accurate.
Not for emergencies. Don’t rely on the Service for emergency, safety, or other time-critical communications. Contact emergency services and your guests directly, and have a backup plan for anything important on your event day.
17Limitation of liability
To the fullest extent permitted by law, Textual LLC and its members, managers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or opportunity; emotional distress, inconvenience, or disappointment; missed, late, duplicate, or misdirected messages; lost, corrupted, or deleted photos or content; the acts or content of hosts, guests, or third parties; or any event, travel, or vendor costs, arising from or related to the Service, even if we were told such damages were possible.
Our total liability for all claims relating to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or US$100. These limits apply to every theory of liability, including contract, tort (including negligence), and statute, and even if a remedy fails of its essential purpose.
Some jurisdictions don’t allow certain disclaimers or limitations of liability, so some of the above may not apply to you.
18Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Textual LLC and its members, managers, employees, and suppliers from any claims, damages, losses, fines, penalties, and expenses (including reasonable legal fees) arising from your content; the messages you send or schedule, including claims by guests, recipients, carriers, or regulators under the Telephone Consumer Protection Act or similar laws; any lack of consent from a recipient; actions of your co-hosts, AI-feature actions you request or approve, and connected apps you authorize; or your breach of these Terms or the law. We may control the defense of any claim, and you won’t settle a claim without our written consent.
19Disputes and arbitration
Please read this section carefully. It requires most disputes to be resolved through individual arbitration and limits class actions.
Informal resolution first. Before starting a claim, you or we must send the other a written description of the dispute (to us at [email protected]) and try in good faith to resolve it for at least 30 days.
Binding individual arbitration. Except as described below, any dispute arising from or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, before a single arbitrator. The Federal Arbitration Act governs this section. The arbitrator decides all issues, including the scope and enforceability of this section, except as stated below. Fees are allocated under the AAA rules. Hearings may take place by video or in the county where you live.
Exceptions. Either of us may bring an individual claim in small-claims court if it qualifies, and either of us may go to court to stop infringement or misuse of intellectual property. Claims for public injunctive relief, where the law doesn’t allow them to be waived or arbitrated, will be decided by a court after the arbitrable claims are resolved.
You and we each waive the right to a jury trial and to bring or participate in any class, collective, or representative action. Claims may be brought only on an individual basis.
Mass filings. If 25 or more similar arbitration demands are filed by or with the help of the same lawyers or organizations, they will be administered in batches of up to 25, with each batch resolved before the next is filed, and the parties will cooperate in good faith on fees and scheduling.
Opting out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days after you first accept these Terms, with your name, the phone number on your account, and a statement that you opt out of arbitration.
If this section doesn’t apply. If you opt out, if a claim is excluded, or if this arbitration agreement is found not to apply to a dispute, the dispute will be brought only in the state or federal courts located in Los Angeles County, California, and you and we consent to their jurisdiction. If the class-action waiver is found unenforceable for a claim, that claim will proceed in court, not in arbitration.
Governing law. These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules.
Changes to this section won’t apply to disputes already filed or to claims you have already notified us of.
20Changes to these terms
We may update these Terms from time to time. We will change the “Last updated” date above and, for material changes, take reasonable steps to notify you, such as through the Service, by text, or by email. Changes apply going forward and don’t affect disputes already pending. Continuing to use the Service after changes take effect means you accept them.
21General
These Terms, our Privacy Policy, and any terms shown at checkout are the entire agreement between you and us about the Service. If any part of these Terms is found unenforceable, the rest stays in effect. Our not enforcing a provision isn’t a waiver. You may not transfer these Terms without our consent; we may transfer them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries of these Terms. We may give you notices through the Service, by text, or by email, and those notices satisfy any requirement that they be in writing. Neither of us is responsible for delays or failures caused by events beyond reasonable control, including carrier filtering, provider outages, and regulatory changes. Headings are for convenience only.
